1. Applicability

These terms and conditions apply to all offers, quotations and agreements between De Vacature Expert, hereinafter "we" or "us", and the client. Deviations apply only where they have been agreed in writing. The client's own general terms and conditions (including purchasing conditions) do not apply.

2. Offers, quotations and guarantee check

All offers and quotations are without obligation and valid for 30 days, unless otherwise stated in writing. An agreement is concluded as soon as the client accepts the quotation in writing, by email or verbally, or as soon as we begin performance at the client's request.

The no-obligation introductory meeting (the "guarantee check") is intended to assess together whether we can help the client. This meeting is free of charge and does not oblige either party to enter into an assignment.

3. What we do

We provide recruitment marketing: designing and running recruitment campaigns (including on social media and Google), screening applicants and making suitable candidates available to the client through our client portal. We are not an employment agency, a secondment agency or a payroll organisation, and at no point do we become the employer of a candidate. The decision to hire a candidate, and the terms of employment, rest solely with the client.

4. Candidate guarantee

Where we issue a candidate guarantee (for example "at least 3 suitable candidates"), the following applies:

a. A candidate is "suitable" when they meet the profile recorded in writing at the start of the assignment (in the quotation, the intake or the client portal): role, region, experience, availability and any hard requirements such as a driving licence or qualifications.

b. If the guaranteed number is not reached within the agreed term, we continue the campaign at our own expense until the number has been reached. The guarantee does not confer any right to a refund or discount, unless otherwise agreed in writing.

c. The guarantee lapses if the client materially changes the profile during the assignment, does not assess candidates in the client portal within 5 working days or does not enter into discussions with candidates within a reasonable period, withdraws the vacancy, or if the terms of employment are demonstrably below the prevailing level for the role and region.

d. Hiring a candidate is the client's responsibility. We guarantee suitable candidates, not that a candidate will accept the client's offer or remain in employment.

5. Client portal and cooperation of the client

The client is given access to our client portal and assesses candidates there. The client provides, in good time, the information, access, visual material and decisions that we reasonably require, and responds to proposed candidates within 5 working days. Delay or standstill caused by a lack of cooperation is at the client's expense and risk; the agreed term and fee continue to run in that case.

Login credentials for the portal are personal. The client is responsible for their use within its organisation.

6. Candidates and personal data

Candidate data that we share through the client portal is intended solely for assessment for the vacancy concerned. The client does not use it for any other purpose, does not share it with third parties and deletes it as soon as it is no longer needed. Both parties comply with the General Data Protection Regulation (GDPR). To the extent that we process personal data on behalf of the client, the parties conclude a data processing agreement on request.

If, within 12 months of the introduction, the client hires a candidate proposed by us (as an employee, as a self-employed contractor or through a third party), including for a different role or through an affiliated company, this counts as a placement through us and the fee agreed for it becomes payable.

7. Prices and payment

All rates are in euros and exclusive of VAT. For clients with a valid EU VAT number outside Bulgaria, VAT is reverse-charged to the client; the client's VAT number is stated on the invoice. Media costs (advertising budget) are not included in our rates, unless expressly stated otherwise.

Invoices are payable within 7 days of the invoice date to the account specified by us. If the payment term is exceeded, the client is in default without further notice of default being required, and we are entitled to charge statutory commercial interest and reasonable extrajudicial collection costs. In the event of default we may suspend performance, including access to the client portal and ongoing campaigns, until payment has been made in full.

8. Debt collection

If an invoice remains unpaid after the payment term and one reminder, we may refer the claim to a debt collection agency. All resulting costs, including interest and judicial and extrajudicial costs, are borne by the client.

9. Intellectual property

All content developed by us, including advertisements, video, imagery, copy, concepts, strategies, audience settings and campaign material, remains our property. The client receives solely a right of use for the agreed campaign and may not reuse, modify or pass on this content to third parties without our written consent. Material supplied by the client (logo, photographs, company information) remains the property of the client; the client warrants that we may use this material for the campaign.

We may use the client's name and logo and the results achieved, in general terms, as a reference, unless the client objects to this in writing in advance.

10. Liability

Our assignment is a best-efforts obligation, with the exception of the candidate guarantee in article 4. We are not liable for indirect loss, consequential loss, loss of turnover or profit, missed applicants, loss caused by the conduct of candidates, or loss caused by third parties such as advertising platforms. Our liability is in all cases limited to the amount paid out by our insurer or, failing that, to a maximum of the amount invoiced for the assignment concerned over the preceding three months. These limitations do not apply in the event of intent or deliberate recklessness on our part.

11. Force majeure

We are not obliged to fulfil any obligation if we are prevented from doing so by force majeure, which includes outages, rejections or policy changes at advertising platforms, failure of internet or hosting services, illness of key personnel and changes in legislation or regulations. If the force majeure lasts longer than 60 days, either party may terminate the agreement in writing with respect to the part not yet performed.

12. Term and termination

An assignment has the term stated in the quotation. Early termination or cancellation of an accepted assignment is possible only by mutual agreement. In that case, hours already worked, media costs already purchased, demonstrable preparation costs and the fee for suitable candidates already proposed are charged in full. Article 6 (candidates and personal data) and article 9 (intellectual property) remain in force after termination.

13. Governing law and disputes

All offers and agreements are governed exclusively by Dutch law. Disputes are first resolved by mutual consultation. If that fails, they are submitted to the competent court of the District Court of Oost-Brabant.
